The listing, marked up

Nothing in the wording of this listing tripped a check. The scores above still judge how complete and coherent it is.

Flyer One Ventures backs Ukrainian and CEE founders building global technology businesses. We’re growing our legal team and looking for a Legal Counsel to work alongside our team across investments and fund operations.

Why join us

Work with international institutional investors. Our Fund V is Ukraine’s first institutionally backed early-stage venture capital fund, with IFC, a member of the World Bank Group, and EBRD among its investors. You’ll work with these investors on fund documents, approvals and ongoing legal questions.

Stay involved beyond the closing. You’ll work on investments and continue working with those companies through new rounds, follow-on investments and exits. You’ll see how the terms you negotiate affect the fund and its founders over time.

Have your own areas of responsibility. You’ll work directly with our partners, investment and finance teams, founders and external lawyers. You’ll have matters to lead yourself, with a fellow counsel and external specialists to work through more complex.

What you’ll work on

• Investments: draft, review and negotiate SAFEs, convertible instruments, share purchase and shareholders’ agreements; coordinate due diligence, approvals, signing and closing.

• The portfolio: handle the fund’s side of new rounds, secondaries and exits, review consents and amendments, and help founders with legal questions involving the fund.

• The fund and its investors: work with the LPA and side letters, prepare resolutions, coordinate investor approvals and onboarding, and support the legal side of capital calls and distributions.

• Day-to-day fund operations: work with administrators and local lawyers on our international structures, prepare corporate documents and agreements, and respond to documentation requests from banks and auditors.

What we’re looking for

• 2–5 years of legal experience and a solid grounding in corporate law or M&A. Your background could be a law firm, a Big Four legal team, a company with a strong legal function, or an investment fund.

• Advanced English, with experience drafting and reviewing legal documents and discussing them with founders, investors and external counsel.

• Experience handling matters yourself: drafting documents, speaking with counterparties and moving work through to completion. People working with you should know where things stand and what happens next.

• A practical approach to legal questions. You understand what the business is trying to achieve, explore legally sound options and recommend a way forward, explaining the risks that matter.

VC experience is a plus, but you don’t need to have worked in a fund before. Experience in-house after a law firm is useful; we also welcome candidates coming directly from private practice.
